Please read these Terms and Conditions carefully before using our website or engaging our services. By accessing our website or entering into an agreement with Kohesia, you agree to be bound by these terms.

2. DEFINITIONS

 

"Kohesia," "we," "us," or "our" refers to Kohesia and its team.

 

"Client," "you," or "your" refers to any individual or business that engages Kohesia for services or uses our website.

 

"Services" refers to automation builds, website builds, consulting, retainer arrangements, and any other work delivered by Kohesia.

 

"Project" refers to a one-time, scoped engagement with a defined deliverable.

 

"Retainer" refers to an ongoing monthly arrangement where Kohesia provides agreed services on a recurring basis.

 

"Deliverables" refers to the final outputs, automations, configurations, or builds produced by Kohesia as part of a Project or Retainer.

 

 

3. USE OF OUR WEBSITE

 

By visiting our website, you agree to use it only for lawful purposes and in a manner that does not infringe the rights of others. You must not attempt to gain unauthorized access to any part of our website, introduce malicious code, or use automated tools to scrape or extract content from our site without our written permission.

 

We reserve the right to restrict or terminate access to our website at any time without notice.

 

 

4. SERVICES AND SCOPE OF WORK

 

All services provided by Kohesia are governed by these Terms and Conditions together with any separate proposal, statement of work, or service agreement provided to the Client at the time of engagement.

 

Before work begins, Kohesia will define the agreed scope of work in writing (by email, proposal, or contract). Any work requested outside the agreed scope is considered out of scope and will be quoted and billed separately.

 

Kohesia builds and delivers services within the Client's own platforms and accounts wherever possible. The Client is responsible for maintaining active subscriptions to any third-party platforms required to support the Deliverables (such as GoHighLevel, n8n, or other tools). Kohesia is not responsible for service interruptions, changes, or cost increases by third-party platform providers.

 

 

5. PAYMENT TERMS

 

Project-based work: A deposit of 50% of the total project fee is required before work begins. The remaining 50% is due upon completion and delivery of the agreed Deliverables. Work will not commence until the initial deposit is received.

 

Retainer services: Retainer fees are billed monthly in advance on the agreed billing date. Retainer services will not begin or continue until payment is received for the current period.

 

Invoices are due within 14 days of the invoice date unless otherwise agreed in writing.

 

Late payments may incur a late fee of 2% per month on the outstanding balance, applied after 7 days past the due date.

 

Kohesia reserves the right to pause or suspend work on any active project or retainer if payment is overdue until the outstanding balance is settled.

 

All fees are quoted in USD unless otherwise stated. Clients are responsible for any applicable taxes, duties, or transaction fees in their jurisdiction.

 

 

6. REFUND POLICY

 

Project-based work: If a Client wishes to cancel a project within 7 days of signing or paying the deposit, and work has not yet commenced, Kohesia will issue a partial refund of the deposit minus any administrative or planning costs already incurred. Once work has commenced, no refunds will be issued on amounts already paid.

 

Retainer services: Retainer fees are non-refundable. If a Client cancels a retainer, they will continue to have access to retainer services until the end of the current billing period. No pro-rated refunds will be issued for unused time within a billing period.

 

If Kohesia fails to deliver the agreed Deliverables due to reasons within our control, we will work with the Client to resolve the issue. If resolution is not possible, Kohesia will issue a fair and proportionate refund at our discretion.

7. CANCELLATION POLICY

 

Project-based work: The Client may cancel a project at any time by providing written notice to Kohesia. Work completed up to the point of cancellation will be invoiced and is payable by the Client. Any unused portion of the deposit beyond work completed may be refunded at Kohesia's discretion.

 

Retainer services: Either party may cancel a retainer by providing at least 14 days written notice before the next billing date. If notice is not provided at least 14 days before the next billing date, the Client will be charged for one additional billing period.

 

Kohesia reserves the right to cancel or terminate any engagement at any time if the Client breaches these Terms and Conditions, fails to make payment, or behaves in a manner that is abusive, unlawful, or harmful to Kohesia or its team. In such cases, Kohesia will provide a pro-rated refund for any undelivered work already paid for.

 

 

8. CLIENT RESPONSIBILITIES

 

The Client agrees to provide Kohesia with timely access to all platforms, accounts, credentials, and materials necessary to complete the agreed work. Delays caused by the Client's failure to provide required access or information may result in revised timelines and additional costs, which will be communicated in writing.

 

The Client is responsible for reviewing and approving all Deliverables within the timeframe agreed upon. If no review period is specified, Kohesia will consider Deliverables accepted after 7 business days of delivery without written feedback.

 

The Client represents and warrants that any materials, content, data, or instructions they provide to Kohesia do not infringe any third-party rights and comply with all applicable laws.

 

 

9. INTELLECTUAL PROPERTY AND OWNERSHIP

 

Since Kohesia builds Deliverables directly within the Client's own accounts and platforms, ownership of the final Deliverables passes to the Client upon receipt of full payment.

 

Kohesia retains the right to use its own proprietary methods, frameworks, templates, processes, and general knowledge gained through the engagement for other projects and clients. This does not include any confidential or proprietary information specific to the Client's business.

 

All content, branding, code, and materials provided by the Client remain the property of the Client. By providing such materials to Kohesia, the Client grants us a limited license to use them solely for the purpose of delivering the agreed services.

 

Kohesia retains full ownership of all intellectual property on its own website, including but not limited to its branding, copy, designs, and code. You may not reproduce, distribute, or use any part of our website content without our written permission.

 

 

10. CONFIDENTIALITY

 

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement and not to disclose such information to third parties without the other party's written consent, except as required by law.

 

This confidentiality obligation survives the termination of any engagement between the Client and Kohesia.

 

 

11. THIRD-PARTY PLATFORMS AND TOOLS

 

Kohesia uses third-party platforms and tools to deliver its services, including but not limited to GoHighLevel, n8n, and Anthropic's Claude API. The Client acknowledges that the delivery of services may depend on the availability, pricing, and continued operation of these platforms.

 

Kohesia is not responsible for any disruption, data loss, changes to functionality, or additional costs caused by third-party platform providers. The Client is responsible for reviewing and agreeing to the terms of service of any third-party platforms used in connection with their project.

 

 

12. LIMITATION OF LIABILITY

 

To the fullest extent permitted by law, Kohesia's total liability to the Client for any claim arising out of or in connection with our services or these Terms and Conditions shall not exceed the total fees paid by the Client to Kohesia in the three months preceding the claim.

 

Kohesia shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, loss of business, or loss of profits, even if Kohesia has been advised of the possibility of such damages.

 

Kohesia does not guarantee specific business outcomes, revenue increases, or performance results from the delivery of its services. Results depend on many factors outside of Kohesia's control.

 

 

13. INDEMNIFICATION

 

The Client agrees to indemnify, defend, and hold harmless Kohesia and its team members from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to the Client's use of our services, the Client's breach of these Terms and Conditions, or any content, data, or materials provided by the Client.

 

 

14. WARRANTIES AND DISCLAIMERS

 

Kohesia warrants that it will deliver services with reasonable care and skill in accordance with the agreed scope of work.

 

Our website and any information provided on it are offered on an "as is" basis without warranties of any kind, express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

 

 

15. GOVERNING LAW AND DISPUTE RESOLUTION

 

These Terms and Conditions are governed primarily by the laws of the Republic of the Philippines, with secondary reference to applicable laws of the United States where relevant to US-based Clients or transactions.

 

In the event of a dispute, both parties agree to first attempt to resolve the matter in good faith through direct communication. If a resolution cannot be reached within 30 days, the dispute shall be submitted to mediation before either party pursues formal legal action.

 

For Clients based in the Philippines, disputes that cannot be resolved through mediation shall be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines.

 

For Clients based in the United States, disputes that cannot be resolved through mediation shall be subject to binding arbitration in accordance with applicable US arbitration rules.

 

 

16. PRIVACY

17. CHANGES TO THESE TERMS

 

Kohesia reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.

 

For active Client engagements, material changes to these terms will be communicated by email with at least 14 days notice before taking effect.

 

 

18. SEVERABILITY

 

If any provision of these Terms and Conditions is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.

 

 

19. ENTIRE AGREEMENT

 

These Terms and Conditions, together with any proposal, statement of work, or service agreement provided to the Client, constitute the entire agreement between Kohesia and the Client with respect to the subject matter herein and supersede all prior discussions, representations, and agreements.
